- Due to continued and exciting expansion within their business, our specialist Plc group is seeking to recruit an experienced Assistant Company Secretary into their team.
It is essential that you have experience of working in a similar role in an AIM-listed plc though candidates with main-market experience also considered
You will need Plc Board exposure and experience of working with senior management with busy and demanding schedules, have strong company secretarial knowledge, be full or part ICSA-qualified and strong entity management system skills (Diligent Entities or similar).
The post holder will be responsible for providing company secretarial support to the Group plc and its UK subsidiaries as well as co-ordinating overseas subsidiary management. The role holder will report to and support the General Counsel & Company Secretary in all company secretarial matters, alongside a company secretary assistant.
This is a high-profile role and the role holder will be working with the Board of Directors as well as the boards of subsidiary companies. This role would suit a pragmatic, flexible individual who is interested in building a company secretarial function and developing their career within a dynamic, growing AIM-listed business and finding new ways to deliver company secretarial services to a range of different stakeholders. Study support for the right candidate may be offered.
Key Accountabilities include:
*Supporting the board and its committees: agendas, papers, minutes, tracking actions, terms of reference, Board evaluations, directors' inductions, forward agendas
*Stock Exchange announcements: liaising with in relation to block-listings, total voting rights, directors' dealing, major shareholders (TR1), interim and annual results announcements and trading updates
*MAR compliance: maintaining insider lists; requests to deal; delayed disclosure records; advising employees on the share dealing code's requirements and insiders' obligations
*AGM: Ownership of the logistics of the Annual General Meeting. Responsible for the first draft of the notice of meeting, ancillary documents and Chairman's script and, through the Legal team and external lawyers, ensuring that these documents are approved and distributed as appropriate
*Annual Report & Accounts: Managing the production and publication of the annual report including the relationship with external designers and printers. Responsible for the first drafts of the director's report, corporate governance report, remuneration report, and shareholder information sections
*Shareholder services: Share issues, dividends, shareholder enquiries
*Statutory Registers: ownership for keeping up to date the registers of major shareholders, director's interests, conflict of interest and issued share capital in Excel, and maintaining the Corporate Governance and AIM Rule 26 information on the corporate website
*Subsidiary governance: company secretarial support for UK subsidiaries, including: support for corporate activities (board changes, dividend payments; share capital reductions, dissolutions); maintaining statutory registers and company records; completing statutory filings (confirmation statements, PSC registers); use of Diligent Entities; drafting board minutes/resolutions; articles of association; review/board approval/filing of statutory accounts; and integration of acquired/merged businesses into the Group. Oversight of international subsidiary governance.
*Share plans: Administration of the UK growth share schemes and the LTIP to include the administration of awards and vesting, accurate maintenance of records and the relevant internal and external reporting of information. Liaising with participants, Finance, HR, tax, trustee and share brokers
To be effective you will need experience of working in a large international firm and working with remote teams, this is desirable but not essential. It is essential that you are an advanced user of Microsoft Office suite of products including Microsoft Excel and can quickly grasp technical issues and see how these issues fit into the 'bigger picture.'
